Terms of Service
These Terms of Service (“Terms”) govern your access to and use of DarkLion (“the Service”), an AI-assisted bookkeeping automation product operated by Dark Lion AI (“we,” “us,” or “our”). By connecting your QuickBooks Online account or otherwise using the Service, you agree to be bound by these Terms.
1. Description of Service
DarkLion is an AI-powered bookkeeping automation tool that integrates with Intuit QuickBooks Online. The Service provides:
- Automated transaction categorization using artificial intelligence
- Daily account reconciliation assistance
- Vendor research and record enrichment
- Automated read/write interactions with your QuickBooks Online account via Intuit’s authorized APIs
2. Acceptance of Terms
By accessing or using the Service, you represent that:
- You are at least 18 years of age
- You have the authority to connect the QuickBooks Online account you authorize
- Your use of the Service complies with all applicable laws and regulations
- You have read and agree to these Terms and our Privacy Policy
3. Account Authorization & Access
To use the Service, you must authorize DarkLion to access your QuickBooks Online account via Intuit’s OAuth 2.0 protocol. By authorizing access, you grant Dark Lion AI permission to read and write transaction data, account information, and vendor records within your QuickBooks Online account as necessary to provide the Service.
You may revoke this access at any time through your Intuit account settings. Revoking access will terminate the Service’s ability to function for your account.
4. User Responsibilities
You are responsible for:
- Reviewing AI-generated categorizations — You must review all transaction categories, reconciliations, and changes made by DarkLion before relying on them for tax, financial reporting, or legal purposes.
- Maintaining accurate records — The Service assists with bookkeeping but does not replace the judgment of a licensed accountant or bookkeeper. Final responsibility for the accuracy of your books rests with you.
- Authorized access only — You may only connect QuickBooks accounts for which you have legal authorization to provide third-party access.
- Compliance with Intuit’s terms — Your use of QuickBooks through the Service remains subject to Intuit’s own Terms of Service and Developer Agreement.
- Not using the Service for illegal purposes — You may not use DarkLion to manipulate financial records, evade taxes, or engage in any fraudulent activity.
5. No Warranty on Categorization Accuracy
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
You should always have a qualified accounting professional review your books, particularly before filing taxes, preparing financial statements, or making significant financial decisions.
6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DARK LION AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, ERRORS IN FINANCIAL RECORDS, TAX PENALTIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT WILL DARK LION AI’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO DARK LION AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
7. Intellectual Property
The Service, including its AI models, algorithms, user interface, and documentation, is the proprietary property of Dark Lion AI and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your own business bookkeeping purposes.
Your QuickBooks data remains your property at all times. We claim no ownership over your financial records.
8. Termination
Either party may terminate these Terms at any time. You may terminate by revoking the QuickBooks OAuth authorization. We may suspend or terminate your access to the Service for violation of these Terms or for any business reason with reasonable notice.
Upon termination, all licenses granted hereunder will cease, and we will cease accessing your QuickBooks account. Sections 5, 6, 7, 9, and 10 survive termination.
9. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Florida, and you hereby consent to personal jurisdiction in such courts.
Before filing any formal legal proceeding, you agree to contact us at support@darklion.ai and provide thirty (30) days’ notice to allow us to resolve the dispute informally.
10. Changes to Terms
We reserve the right to modify these Terms at any time. When we do, we will update the “Last Updated” date above. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify connected users.
11. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dark Lion AI regarding your use of the Service, and supersede all prior agreements or understandings.
